 Superior Interactive Terms of Services

You should carefully read the following Terms and Conditions. Your purchase or use of our products/services implies that you have read and accepted these Terms and Conditions. This web site may contain typographical errors or inaccuracies, including but not limited to errors or inaccuracies related to price, product information, product description or availability, and may not be complete or current. Superior Interactive therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice or liability. Please note that such errors, inaccuracies or omissions may relate to pricing and availability, and we reserve the right to cancel or refuse to accept any service placed based on incorrect pricing or availability information.

We have made every effort to display as accurately and reliably as possible the services and prices that appear on the web site. Any price quotation, service information or any other such information regarding the provision of and fees for any goods or service offered by Superior Interactive, are provided purely for informational and illustrative purposes.

Please note that by submitting your down payment for our services you are agreeing to all of our terms of service as written here. Superior Interactive reserves the right to change or update these terms at any time without prior notice.

Quotes & Contracts
Quotes provided to prospects will be honored for 30 days. A new quote will then be provided upon request. Contracts that have been written, but not signed by the client will only be accepted within 30 days of the delivery date. A new contract may be drawn up upon request.

Charges & Fees
All projects require an initial 50% deposit that will be due before any work is started. The remaining 50% balance will be due upon acceptance of the completed web development project before it is released to the client or published to the Internet.

All new web design projects that exceed $700 US will be split into three payments. An initial deposit of 1/3 of the total project cost will be due at contract signing. A second payment of 1/3 the total project cost will be due upon acceptance of the design. The final balance will be due upon acceptance of the completed web development project before it is released to the client or published to the Internet.

Superior Interactive accepts payments via cash, PayPal, or personal check. Your project will not be released to you or uploaded to client’s hosting account until full payment is received.

Payments via check which are declined are subject to the $25.00 NSF fee PLUS any bank charges which Superior Interactive incurs. Service will be interrupted/stopped on accounts that reach 10 days past due. Service interrupted for non-payment is subject to a $15 late fee which is payable before service will be restored.

Web Work
Any web work created by Superior Interactive will be posted on our hosting account until final payment is received. You will be able to see your work by typing for example http://www.flint-webdesign.com/yoursite/index.html. We would like for your site to be complete before it is uploaded and live for everyone to see. We don’t post incomplete work on client’s web address. We will create a simple “coming soon page” with the name of your web site and contact information for free while the site is being created.

Web Site Design Credit
All Superior Interactive custom web design clients will have a “Design by: Superior Interactive” link on their website in the footer of every page. This is non-negotiable. By hiring us to work on your website you are agreeing to this, and that you understand that this link may NOT be removed without our consent. You may pay Superior Interactive a fee of $150 to have this link permanently removed. Should you have a new layout designed for your site by a company other than Superior Interactive, you may remove the credit from your website.

Responsibility for Content
You, as Superior Interactive customer, are solely responsible for the content stored on your web site. If content on your page is plagiarized or is someone else’s you, the client, are responsible.

Copyright & Ownership
Superior Interactive reserves the right to resell custom designed web sites that remain unpaid by the original client, unaccepted mockups or other graphics created by Superior Interactive but not in legal use by the client.

Superior Interactive reserves the right to display web sites and graphics that have been designed by Superior Interactive on its website, and in any marketing material to aid as examples of our work.

Client cannot claim intellectual property rights or exclusive ownership our web designs. At best, the web design created for the client is a joint effort between Superior Interactive and the client. In no event can client copy files and give to another person for reuse or loading into another hosting plan without permission from Superior Interactive. Client fully owns images, text and etc. that they provide in order to create the Web site.

A request to terminate services must be presented to Superior Interactive in writing. Superior Interactive has a Guaranteed 30 Day Turnaround for your project. If we fail to complete your project within 30 days of the start date (date of signed contract) AND you have turned in all content, images and information requested by us, you will receive a full refund within 30 days of your written request. Otherwise, please follow the refund terms below.  Refunds for domain names and hosting are non refundable due that they are purchased through a third party entity.

Refund Amounts will be calculated in the following ways:

  1. A cancellation fee of 20% (twenty percent) of the total deposit paid will be retained for projects that have been booked, but cancelled prior to the start date.

  2. A cancellation fee of 30% (thirty percent) of the total deposit paid will be retained for projects that have been started and are in the design process.

Refunds will be processed within 30 business days of request by the client.

Because we resell hosting for a larger company, we are unable to offer refunds on hosting, SSL and domain services. If you are dissatisfied with the hosting services provided, we will be happy to work out a solution with you that will meet your company needs.

Development & Delivery
Superior Interactive understands the importance of completing projects in a timely manner. We agree to complete the web design project within 30 days from the date of contract signing. Most sites can be created within 1 – 15 business days. If the client does not supply Superior Interactive with complete text, graphic content and other requested materials for the contracted client within 30 days of contract signing, the contract becomes void and all deposits paid by the client are forfeited and all work stops.

Restart of work will be considered a new project and new fees will be required.

It is expected that the client will provide crucial or major elements of the web site at the time of contract signing. It is unreasonable for client to expect the 30 day agreement to applicable if crucial or major elements needed for web site completion are submitted late as in a few days before the expected completion date.

The client may request a Project Extension in writing to Superior Interactive for an additional fee of 10% of the project total cost for every 30 days of extension. All extension fees are due upon agreement of the extension between Superior Interactive and the client.

If we are unable to communicate with a client on a project for a duration of at least 14 days (14) by phone or email during the design and development process, the project will be canceled without prior notice and no refund will be issued.

E-Commerce Earnings
Superior Interactive does not guarantee that an E-Commerce site will make money. Although, a well thought out and well developed web site may assist a client in generating sales, the quality of product(s), price of product, ample web traffic, strong sales letter and other factor help determine if client makes money.

International Customers
Superior Interactive happily accepts projects from customers outside of the United States. However, we do require full payment of all projects prior to beginning your project via Credit Card. This is non-negotiable.

Project Consideration
Please note that Superior Interactive is a family owned and operated company. Therefore, we will not accept projects that we find morally questionable, unethical, or distasteful.

Denial of Service
Superior Interactive reserves the right to refuse service to anyone at any time for any reason.

Our website grants you two possible types of license to use the web site and other products (the "products") sold through our website by independent content providers in accordance with these Terms and Conditions (the "license") issued by our company, as follows: 

Although client owns the signed off site, client agrees not to modify the look/design and text of the Website either by themselves or by another person. This helps to protect the creditability and integrity of our work, which may or may not affect our company in getting clients in the future. All modifications and changes will be done solely by Superior Interactive.

Client agrees to only modify permissible sections of their Website. Any other modifications not indicated in the contract are a violation.

Imagery, Clip Art & Fonts
All imagery, clipart and fonts used in our products are royalty-free and are the integral part of our products. One Time Usage License and Developers License give you the right to use images, clip art and fonts only as a part of the website. You can use imagery, clip art and fonts to develop one project only. Any kind of separate usage or distribution is strictly prohibited.

If you have not received the Buyout License, you shall not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium. You also shall not offer them for redistribution or resale of any kind without prior written consent from our company.

Information Disclosure
You may not disclose any order information including, but not limited to, Order ID, download link, passwords and etc. Superior Interactive agrees not to disclose information to a third party unless it aids in the completion of the web site. For example if a special app or function needs to be added to the web site that is beyond the expertise or abilities of Superior Interactive, a third party may receive information that allows them to have access to the web site back end.

Renewal Fees
Client is responsible for paying their domain name (web site name) and web hosting costs. A renewal message via E-Mail is sent to the client at least 90 days prior to expiration. Also a 60 and 30 day notice is sent to the client informing them of the expiration. If Superior Interactive purchased the domain name and or hosting account, we will alert the client of the expiration and request payment. It is the client’s responsibility to pay Superior Interactive the fees so that we can pay the fee(s) on the client’s behalf. Superior Interactive is not obligated to pay the renewal fees with its own money. If Superior Interactive does pay the fees as a good faith statement as suggested by the client, Superior Interactive reserves the right to remove all content from the account until payment is received. If payment for renewal is not received from client after 7 business days, Superior Interactive will take ownership of the web site.

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Exclusive jurisdiction and venue is as governed in the district court of Genesee County, Flint, Michigan.
